Confidentiality and Restricted Access Agreement

Restricted Section of the Doggybites BV ('Adhese') Trust Center

This Confidentiality and Restricted Access Agreement ("Agreement") governs access to the restricted section of the Trust Center ("Restricted Content") made available by Doggybites BV ('Adhese') ("we," "us," "the Organization"). By clicking "I Accept" or by otherwise accessing the Restricted Content, you ("you," "Visitor") agree to be bound by the terms of this Agreement. If you are accessing the Restricted Content on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

If you do not agree to these terms, do not proceed, and do not access the Restricted Content.

1. Purpose

The Organization makes certain information about its information security environment, controls, architecture, and practices available on a restricted basis to support due diligence by prospective and existing customers, partners, and auditors. This information is provided solely to help you evaluate the Organization's security posture in connection with an existing or prospective business relationship ("Purpose").

2. Confidential Information

"Confidential Information" means all information made available to you through the Restricted Content, including but not limited to details regarding the Organization's technical infrastructure, security architecture, network design, access control mechanisms, monitoring and detection capabilities, incident response procedures, vendor and supplier relationships, and any other non-public information disclosed in this context, whether in written, electronic, oral, or visual form.

Confidential Information does not include information that:

• was already lawfully known to you without restriction prior to disclosure;
• is or becomes publicly available through no fault of your own;
• is independently developed by you without reference to or use of the Confidential Information; or
• is rightfully obtained from a third party without breach of any confidentiality obligation.

3. Obligations

You agree to:

• use the Confidential Information solely for the Purpose described above;
• not disclose, share, publish, or otherwise make available the Confidential Information, in whole or in part, to any third party without the Organization's prior written consent;
• limit access to the Confidential Information to your own employees, contractors, or advisors who have a legitimate need to know it for the Purpose, and who are themselves bound by confidentiality obligations at least as protective as those in this Agreement;
• protect the Confidential Information using at least the same degree of care you use to protect your own confidential information of a similar nature, and in no event less than a reasonable degree of care;
• not copy, download, screenshot, record, reproduce, or store the Confidential Information outside of the Trust Center platform, except as strictly necessary for the Purpose and permitted under this Agreement;
• not reverse engineer, probe, scan, penetration test, or otherwise attempt to assess, exploit, or bypass the security of the Organization's systems based on the Confidential Information, except where separately and explicitly authorized in writing by the Organization; and
• promptly notify the Organization if you become aware of any unauthorized access to, use of, or disclosure of the Confidential Information.

4. No License or Ownership Transfer

Access to the Confidential Information does not grant you any license, right, or interest in the Confidential Information or any related intellectual property, other than the limited right to view and use it for the Purpose. All Confidential Information remains the property of the Organization.

5. No Warranty

The Confidential Information is provided "as is" for informational purposes related to due diligence. The Organization makes no representation or warranty, express or implied, regarding the completeness, accuracy, or suitability of the Confidential Information for any particular purpose. The Organization's security program, architecture, and controls may evolve over time, and the Restricted Content reflects the Organization's practices as of the time of access.

6. Term and Survival

This Agreement applies for as long as you have access to the Restricted Content and continues to apply after your access ends. Your confidentiality obligations under this Agreement survive termination of your access and remain in effect for three (3) years from the date you first accessed the Restricted Content, except with respect to any Confidential Information that constitutes a trade secret, for which your obligations survive for as long as that information remains a trade secret.

7. Revocation of Access

The Organization may revoke or suspend your access to the Restricted Content at any time, with or without notice. Revocation of access does not affect your obligations under this Agreement with respect to Confidential Information already disclosed to you.

8. Remedies

You acknowledge that unauthorized disclosure or use of the Confidential Information may cause irreparable harm to the Organization for which monetary damages alone may not be an adequate remedy. Accordingly, the Organization is entitled to seek injunctive or other equitable relief, in addition to any other remedies available at law, in the event of a breach or threatened breach of this Agreement.

9. Governing Law and Jurisdiction

This Agreement is governed by the laws of Belgium, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Belgium.

10. Acceptance

By clicking "I Accept" (or equivalent), you confirm that you have read, understood, and agree to be bound by the terms of this Agreement.
